Your Key Responsibilities
Corporate Governance
- Responsible for regional oversight of corporate governance function for Americas region and manage activities for US., Canada, Mexico and Brazil.
- Lead corporate governance for US and Canada including drafting, reviewing, maintain and negotiating various legal documents (intercompany agreements, resolutions, memorandums, minutes, contracts, company statues, powers of attorney, share certificates and registers of legal entity).
- Provide assistance on KYC/DD and other Corporate legal requests.
- Manage corporate entity restructuring management.
- Manage company lifecycle: on a regional basis, lead and implement incorporations, mergers, restructuring, renaming, liquidations.
- Assist global Corporate Governance team in developing and updating corporate governance policies and processes to align with legal requirements and industry best practices.
Human Resources
- Advise HR on all day-to-day labor and employment law related aspects in US and manage Canadian HR matters with outside counsel including FMLA, ADA, FLSA, Title VII, and others.
- Lead regional implementation of labor law requirements and support Schaeffler internal projects and strategies including updating employment policies, handbooks, and practices, as needed.
- Manage employment-related administrative proceedings and litigation, including EEOC, DOL, etc., with the assistance of outside counsel.
- Draft, review, and update HR related commercial agreements including healthcare/benefits, staffing, and pension administration.
- Coordinate, support and/or facilitate HR training, as needed.
Product, Sustainability, R&D, and M&A
- Main point of contact for product law (safety, liability, conformity, product cybersecurity, material compliance, technical compliance, campaigns, recalls) matters.
- Manage R&D (strategic, cooperation, publicly funded projects), IP know-how, and business secret protection legal projects.
- Manage ESG, sustainability, and human rights legal matters.
- Assist with special corporate projects, including M&A transactions for the Americas.
Finance & CREM
- Main point of contact for legal finance matters (documentation for finance instruments, capital markets activities, bonds, loans, regulatory aspects of finance related activities in-cluding insolvency law) and intercompany agreements.
- Lead CREM legal matters (all real estate related legal advice, e.g. leases, acquisitions, sales, construction, but also legal risk management and mitigation in particular relating to liabilities) including environmental law related aspects.
- Main legal contact for facilities management.
- Manage the internal processes related to financially distressed supplier and customer matters.
Regulatory, Digitalization and Data Privacy
- Manage core regulatory topics (in particular, regional antitrust support, merger control, FDI, state aid/subsidies, public procurement, unfair competition, greenwashing, EHS).
- Support Digitalization (e.g. digital business models, digital regulations, AI, digital services and platforms, data privacy, information and cyber security) legal topics.
- Lead and manage legal risk reporting such as regulatory monitoring, litigation manage-ment, internal investigations, and government relations.
Your Qualifications
- Juris doctor from an accredited school and admitted to the Bar in at least one US state.
- At least 10 years previous legal experience with some of this experience in an in-house legal department.
- Experience working in a multi-national manufacturing company.
- Profound skill and in-depth knowledge of corporate law.
- Prior project management experience.
- Previous management experience including the ability to lead cross-functional teams.
- Ability to manage multiple priorities and provide practical, business-focused legal advice.
- Ability to work both independently as well as a productive member of a team.
- High readiness to work and ability to learn quickly, capable of working under pressure.
- Excellent communication skills – verbal and written.
